Croatian Telecom (Reuters: HT.ZA; Bloomberg: HT CZ), Croatia’s leading telecommunications provider, notifies that based on the Merger Agreement, concluded between the company Croatian Telecom Inc. (hereinafter: HT Inc. or the acquiring company) and the company HT Services Ltd (hereinafter: HT Services or the merged company), on 5 November 2024, and pursuant to the Assembly decision of the merged company on approval of the merger, on 2 January 2025 the merger has been entered into the Court Register of the Commercial Court in Zagreb, by the court decision no.: Tt-24/49197-2.
By entry of the merger into the Court Register, the merged company HT Services seized to exist. The acquiring company, HT Inc., became the universal legal successor of the merged company, thus entering into all legal relationships of the merged company.
HT Services was a daughter company of Croatian Telecom, to which the former technological unit Ericsson Nikola Tesla Servisi Ltd (ENTS) for construction and maintenance of the HT network was transferred, together with employees, and based on the Agreement on the transfer of a part of the economic activity that was concluded with ENTS.
